Seller's Transaction Procedure

Ø1. Seller issues FCO (Full Corporate Offer)

Ø2. Buyer signs and returns the FCO

Ø3. Buyer provides LOI (Letter of Intent)

Ø4. Seller sends SPA + NCNDA + IMFPA templates for review

Ø5. Both parties sign and exchange final contracts including bank info, company documents, passport copy

Ø6. SPA is lodged into both parties’ banks

Ø7. Buyer’s bank issues payment guarantee via SWIFT (MT799 / MT700 / MT760 / SBLC)

Ø8. Seller’s bank verifies and issues DCL (Depository Confirmation Letter), ATV (Authority to View), and POP (Proof of Product)

Ø9. Buyer or representative visits the vault in Hong Kong for physical inspection

Ø10. After inspection/assay, buyer issues payment via SWIFT MT103

Ø11. Transfer of ownership is executed between both parties

Ø12. Seller pays commissions as per IMFPA to nominated beneficiaries

Ø13. Transaction concluded

• 5. 双方签署并交换所有最终合约文件，包括银行数据、公司文件、护照影本

• 6. 双方银行将SPA入档（Lodgement）

• 7. 买方银行透过SWIFT发出支付保证工具（MT799 / MT700 / MT760 / SBLC）

• 8. 卖方银行核实后发出DCL（存放证明）、ATV（检视授权）与POP（货品证明）

• 9. 买方三日内实地前往香港金库验货

• 10. 验货或验纯后，买方付款至卖方帐户（SWIFT MT103）

• 11. 双方完成产权转移

• 12. 卖方支付佣金给IMFPA中指定之受益人
